COMPLIANCE PRACTICES AT NETAŞ

Reliable Business Partner
  • As Netaş, one of our main goals is to be a reliable business partner for our customers. We are committed to providing our customers with secure and high-quality telecommunications equipment, while acting in a manner that is fair, transparent and thruthful, both in our business relationships and as part of our corporate identity.
  • In this direction, as a company, we closely follow our main shareholder ZTE Corporation’s (ZTE) export compliance policies and processes without compromise.
  • In order to turn compliance into a competitive business advantage, ZTE continues to work with the aim of establishing an efficient and organized compliance control plan and establishing a first-class compliance management system in the industry by integrating the compliance plan into all business processes.
  • ZTE has partnered with leading law firms and consultants; in accordance with the eight elements of the Export Compliance Program (ECP) published by BIS, a compliance structure has been established in accordance with the corporate governance standards and rules included in the ISO 37000 Governance of Organizations Guidance.
  • ZTE has also put into use world-leading compliance-related management tools and tracking systems, such as SAP Global Trade Services (SAP GTS), for the classification of all items, sanctioned controls and the management of its warehouses at the global level.
  • As Netaş, one of our important missions is to become the reference point of Export Control Compliance processes among Turkish companies. For this purpose, we established our own Compliance Department at Netaş in 2018 and appointed a Chief Compliance Officer reporting to the Board of Directors.
Strong Export Compliance Program
  • Under the leadership of ZTE, we implemented a strong Export Compliance Program for Netaş and its subsidiaries, and established the necessary control points for the effective implementation of this program. As stated in our Compliance Policy, we commit not to enter into a business relationship with any sanctioned country or third party. For this purpose, we systematically monitor and control all our transactions in order not to enter into any business relationship with sanctioned countries/persons, by using the SAP GTS module.
  • The main purpose of having a strong Export Compliance Program is to minimize or even eliminate the risk of violations in export compliance issues within the company, to act in accordance with national and international laws and regulations, to increase the awareness of employees especially in the field of export compliance and to have a systematic compliance mechanism.
  • Promoting a compliance environment
  • Identifying preventable risks within the company
  • Regular evaluations
  • Establishing processes for defining the jurisdiction, classification and determination of exportability, including re-export
  • Regularly raising general awareness and providing unit-specific export compliance training
  • Record keeping procedures meet regulatory requirements
  • Relevant employees follow the appropriate procedure
  • Audits are organized to reflect changes in legislation
  • Inspections meet regular expectations and cover all units
